Section 1
The membership in the Rolla Saddle Club, herein called the Club, shall be comprised of full and associate members.  Full membership is awarded to those members 16 years and older, who have been admitted to the membership by the majority vote and are current in their dues.
Section 2
Associate membership is awarded to any member who is under 16 years of age and who is current in their dues, either individually or under their family dues.  With the exception of voting privilege, associate members shall have all the rights and privileges of full members.
Article I: Membership
Article II: Rights, Privileges and Responsibilities
Section 1
The Club was chartered under the name of the "Rolla Saddle Club" and the members shall be privileged to exercise such rights as are therein conferred, and such additional special privileges as are granted by these by-laws.  Members have the right to be involved in all Club meetings and activities.
Section 2
Privileges include access to and use of the Club's arena, participation in all Club activities, and the ability to compete at all Club scheduled events for points and end of year awards.
Section 3
Each full member hs the responsibility to assist with the maintenance and improvements of the Rolla Saddle Club arena and grounds.  As such, each member is encouraged to participate in scheduled work days/event support activities during the year.  Workdays consist of lawn mowing, arena preparation, repairs, improvements, etc, and are usually scheduled one hour prior to the regular Club meeting dates.  Special workdays will be scheduled as required.  Event support activities are assisting in putting on the events, i.e. ring master, arena setup, gatekeeper, awarding ribbons, etc.

If the Club membership votes to sponsor a major activity, such as a rodeo, as an addition to its show schedule, each full member is encouraged to participate in the preparation and execution.
Section 4
The dues shall be $15.00 per immediate family, or $8.00 per individual.  The membership may at any regular or special meeting change annual dues by a majority vote of the Club.
Section 5
A copy of the by-laws is available on the Rolla Saddle Club website or shall be provided to any member upon request.
Section 6
A gate key shall be provided to each member in good standing upon a payment of a fee of $5.00.  Designated members shall have a copy of each of the keys.  A designated member is defined as an Officer, a Board Member, or any active member as approved by a majority vote.
Article IIl: End of Year Points and Awards
Section 1
For inclusion and consideration in the Rolla Saddle Club year-end awards programs, each person must:

a)Attend at least three (3) meetings during the year.
b)Participate in at least two (2) scheduled workdays and one (1)
   event support activity during the year.
c)All dues must be paid in full.

Any full member unable to complete th4ese work requirements may make application to the Club President for an alternate work activity.

Any points earned prior to dues payment will not be recognized.

An Associate Member without parents, who are full members, may opt to designate an unrelated sponsor to complete the requirements.  The Associate Member must designate their sponsor prior to the accumulation fo year-end points.  Only one Associate Member per sponsorship will be accepted.

Year-end points may be earned in only one age class, even though points may be assessed in two classes (i.e. pony and horse youth classes).

Points for ono-speed events (halter, walk-trot, western pleasure) will result from the placement selected at the discretion of the event's Judge for the event.  For the speed events (poles and barrels) the club will follow the guidelines published in the most recent AQHA Handbook.

If multiple horses are entered in any one event, only the points earned by the highest placing entry will count toward year-end points.


    
Section 2
The Club Secretary is responsible for tracking points at each show and posting the up-to-date point standings at the following show.  It is the responsibility of the individual club member (or the sponsor of minors) to ensure points are accurate and to address disputed points at the show or at the following monthly Club meeting, unless extenuating circumstances exist.  If point discrepancies cannot be resolved with the Club Secretary, the member may appeal to the Club Board.  Decisions of the Board are final.
Section 3
The year-end awards will be determined by action of the Club memberships.
Article IV: Board of Directors
Section 1
The Club shall be governed by a Board of Directors that consist of all elected officers two (2)full members elected as Board Members and the past President.  If the past President is not available, the prior past President will be asked to join the Board of Directors.
Section 2
The Board of Directors shall hold meetings, either by call of the President or by any two (2) directors, upon a twenty-four (24) hour notice.  Four (4) directors shall constitute a quorum for the transaction of business.
Section 3
The Board of Directors shall operate the Club in the arranging of all competition and projects, but they shall not be empowered to borrow money or to pledge the assets of the Club without the approval of a majority vote of the membership of the Club.
Article V: Officers
Section 1
The Officers of the Club shall be a President, Vice President, Secretary and Treasurer.  They shall be elected by the Club from the membership, by a majority vote of the members present and shall not be absent for any 3 consecutive meetings or a new officer may be elected.  Each Officer shall serve a term of one (1) year.
Section 2
PRESIDENTIt shall be the duty of the President to preside at all meetings of the Club and the meetings of the Board of Directors, organize and have general supervision of all the activities and business of the Club, and as authorized by the Board of Directors, execute all written contracts, agreements, or conveyances on behalf of the Club.  the President shall be an ex-officio member of all committees.
Section 3
VICE PRESIDENT:  The vice President, in the absence of the President, shall perform the duties of the President.
Section 4
SECRETARY:  The Secretary shall keep full and accurate minutes of all meetings of the Club and lf all Board of Director meetings, keep a file of said approved minutes, handle all club correspondence, keep a true and accurate account of all membership, keep meeting and workday attendence rosters, track points at each show and post up to date point standings, provide a current list of the membership upon request, notify the Board of all complaints, and perform such other duties as may be prescribed by the Club.
Section 5
TREASURER:  The Treasurer will pay electric, water, taxes, Post Office Box fee, Lock Box Fee, insurance fees, Not for Profit Corporation fees, as well as all bills upon approval  of the general membership, preserve and keep all financial records and financial correspondence of the Club, keep an accurate account of the financial affairs of the Club, issue notices of delinquent dues, and perform such other duties as may be prescribed by the Club.
Section 6
BOARD MEMBER:  The Board Members shall represent the membership and perform such other duties as may be prescribed by the Club.
Article VI: Club Year and Meetings
Section 1
The Club year shall be the first day of January and include December 31 of the same year.
Section 2
The first meeting of each year will be called the Annual Meeting.  This meeting will address any proposed changes to these By-Laws, submission and approval of the show schedule for the upcoming year, and the introduction of new officers.
Section 3
Monthly meetings will be scheduled, the date and time agreed upon by the general membership.  Special meetings may be called by the President or upon written request by five (5) full members.
Section 4
Twenty-Five (25) percent of the full members shall constitute a quorum at any Club meeting, provided that four (4) Board Members are present, two (2) of which must be Officers.
Section 5
Officers can be removed from office by a majority vote of the members present.
Article VII: Amendments of the By-Laws
Section 1
These By-Laws may be amended at the Annual Meeting of the Club.  The by-laws can also be amended at any special meeting called for the purpose by the members present at a meeting, provided that not less than ten (10) days notice of any such special meeting and the proposed changes in the By-Laws shall be given to each member, addressed to their last known post office address.  E-Mail may also be utilized by sending to the address on file in each member's membership application.
Section 2
These By-Laws and the actions in previously approved minutes shall constitute the limits in the governance of the Rolla Saddle Club.
