Article I: Membership
If any member fails to pay his or her dues within 60 days after they are
due, said member cannot vote or serve in office until his or her dues are paid.
Section 1.
The membership of this Club shall consist of regular members who have been admitted to the membership by majority vote and paying their dues.
Section 2.
Article II: Rights, Privileges and Dues
Section 1.
This Club was chartered under the name of the "Rolla Saddle Club" and
it's members shall be privileged to exercise such rights as are therein conferred, and such additional special privileges as are granted by these
by-laws.
Section 2.
The membership shall be comprised of associate and full members. 
Associate members are any member who is under 16 years of age
and/or who has not attended 3 full meetings and/or work days during
the preceeding or current year.  With the exception of voting privileges, associate members have all the rights and privileges of full members. 
The minimum prerequisite for full membership is any regular member
of good standing that is 16 years or older and has attended at least 3
saddle club meetings/workdays during the proceding or current year.

In order to be eligible for year end awards, member must attend and
work one work day, one show and one additional event.

A child or youth member 16 and under may be sponsored by another member.  Sponsorship must be designated before accumulation of
points for the show season.  Only one child or youth member per sponsorship will be allowed.

The Secretary shall keep attendence records for all members.

Full members that have lapsed in their membership for more than 60
days may have full membership privileges restored upon a combination
of: paying membership fees, sponsorship by a member and upon a
majority vote of the members present.
Section 3.
The dues shall be $15.00 per immediate family, or $8 per individual. 
The membership may at any regular or special meeting change annual
dues by a majority vote of the club.

Section 4.
A copy of the by-laws shall be provided to any member upon request.
Section 5.
A gate key shall be provided to each member in good standing, upon payment of a $5 fee.  Designated members shall be given all keys.  A designated member is defined as an Officer, a Board Member and active members as approved by a majority vote.
Article III: Board of Directors
Section 1.
The Club shall be governed by a Board of Directors consisting of 7
regular members, 2 of whom shall be elected for a period of one year
as Board Members and the past President shall hold a board position as well.
Section 2.
The Board of Directors shall hold meetings, either by call of the President
or by any two directors upon twenty-four hour notice to all active
members.  Three directors shall constitute a quorum for the transaction of business.
Section 3.
The general membership shall operate the Club in the arranging of all competition and projects; but they shall not be empowered to borrow money or to pledge the assets of the club without the approval of a
majority vote of the membership of the Club.
Article IV: Officers
Section 1.
The Officers of the Club shall be a President, Vice President, Secretary
and Treasurer.  They shall be elected by the Club from the membership,
by a majority vote of the members present and shall not be absent for
any 3 consective meetings or a new officer may be elected.
Section 2.
PRESIDENT:  It shall be the duty of the President to preside at all
meetings of the Club and Board of Directors; to call through the
Secretary or otherwise, all meetings of the Club or Board of Directors;
to have general supervision of all the affairs and business of the Club;
and when so authorized by the Board of Directors, to execute through
the Secretary, all written contracts, agreements, or conveyances on
behalf of the Club.   The President shall be an ex-officio member of all committees. The President shall serve on the Board of Directors for one
year after his or her term is up.
Section 3.
VICE PRESIDENT:  The Vice President, in the absence of the President,
shall perform the duties of the President.
Section 4.
SECRETARY:  The Secretary shall keep full and accurate minutes of all meetings of the Club and of all board proceedings in books provided
for that purpose at each meeting; keep a true and accurate account of
all membership; issue to all members annual membership cards; to provide
a current list of the membership upon request; to notify the Board of all complaints, issue statements to members and perform such other duties
as may be prescribed by the Club.
Section 5.
TREASURER:  The Treasurer will pay electric, water, taxes, Post Office
Box fee, Rolla Rural Fire dues, Lock Box fee, Not for Profit Corporation
fees as well as all other bills as approved by the general membership; preserve and keep all records of financial correspondence of the Club;
keep an accurate account of financial correspondence of the Club; keep
an accurate account of finanacial affairs of the Club;  issue notices of delinquent dues and perform such other duties as may be prescribed by
the Club.

Article V: Club Year and Meetings
Section 1.
The Club year shall be the first day of January and include December 31
of the same year.
Section 2.
An annual meeting of regular members shall be held on the first meeting
of each year.
Section 3.
Special meetings may be called by the President, or upon written
application by five regular members.
Section 4.
25 percent (25%) of the full members shall constitute a quorum at
any meeting, provided three directors are included in that 25%. (One position being an Officer.)
Section 5.
Meeting date, at least one meeting per month, the date and time
agreed upon by the general membership.
Section 6.
Officers can be removed from office by a majority vote of the members present.
Article VI: Amendments of By-Laws
These by-laws may be amended by an annual meeting of the Club,
or at any special meeting called for that purpose by a majority vote
of the members present; provided that not less than ten days notice
of any such special meeting and the proposed changes in by-laws
shall have been given to each full member addressed to his or her 
last known post office address.
